Job Description

Company secretary will act as a point of communication between the Board of Directors and top management, reporting in a timely and accurate manner on company procedures and developments. He/she will be responsible for ensuring company compliance with standard financial and legal practices. Will ensure legal compliance of all the secretarial affairs of the Company and business of the Board considering the requirements of Companies’ Laws as applicable in Pakistan. .


Duties and Responsibilities

The role covers a range of functions including but not limited to the following;

  • The company secretary is responsible for the efficient administration of company under CEO’s supervision, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are communicated unambiguously and timely
  • Convening and servicing board meetings, committees and annual general meetings (AGMs)-- Coordinating, preparing and distributing pre-read materials, meeting agendas, notifications, and meeting minutes for the Board of directors and its committees
  • Supporting the Chairman in performing his/her role, including the provision of appropriate briefing material to the stakeholders and ensuring decisions made are communicated to the relevant stakeholders promptly
  • Attending Board and committee meetings — recording minutes, highlighting Board and committee’s decisions/ information items and conveying decisions to the concerned stakeholders unambiguously and tmely
  • Reporting outstanding agenda items and ensuring information is provided to the Board/committee members in a timely manner
  • Preparing all correspondence for the Board/committees including responses to enquiries or complaints directed to the Board/committees
  • Following up on actions from meetings
  • Overseeing policies and procedures, ensuring they are kept up to date and referred to the appropriate committees for approval
  • Maintaining key corporate documents and records like statutory books, including registers of members, directors and secretaries
  • Drafting resolutions, lodging required forms and annual returns with SECP
  • Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action
  • Liaising with external regulators and advisers, such as lawyers and auditors
  • Ensure the company complies with all applicable codes, in addition to its legal and statutory requirements
  • Coordinating with Government departments, Companies’ contractual partners/consultants and other stakeholders
  • Maintaining a register of stakeholders and liaising with them on behalf of the company
  • Any other responsibilities assigned by the CEO and BOD from time to time

    Qualification, Experience and required Skills:


  • Member of a recognized body of professional accountants, or a member of a recognized body of corporate/ chartered secretaries or a person holding a master’s degree in Business Administration or Commerce or is a Law Graduate (4 years) from a university recognized by HEC
  • Overall experience of 10 plus years of which at least 5 years experience in the same role. Experience of working in corporate environment will be preferred. International experience will be considered as an added advantage
  • Must have excellent leadership, strong interpersonal and verbal and written communication skills
  • Must possess strong report writing and analytical skills
  • Experience of working with the executives of the multinational companies
  • Attention to detail and a well-organized approach to work
  • The ability to prioritize work and to work well under pressure
  • A sound understanding of corporate governance issues
  • This position reports to the board of Directors of KPEZDMC and administratively to the CEO. KPEZDMC offers attractive market commensurate compensation package including health and life insurance, and retirement plan to the suitable candidate.
